>\n\t\t\t\n\t\t\t\n\n<p><strong>IMPORTANT\u202f\u2014\u202fREAD CAREFULLY BEFORE USING THE SOFTWARE OR SERVICE.<\/strong><\/p>\n<p>This Terms and Conditions document (\u201c<strong>Agreement<\/strong>\u201d) is a legally binding contract between <strong>Vawlt\u202fTechnologies\u202fS.A.<\/strong> (\u201c<strong>Vawlt<\/strong>\u201d, \u201c<strong>we<\/strong>\u201d, \u201c<strong>us<\/strong>\u201d) and the individual or legal entity that installs, accesses or uses the Vawlt Dynamic\u202fStorage Platform, the Software\u202fAgent, software development kits (SDKs), and all related documentation (collectively, the \u201c<strong>Service<\/strong>\u201d).\u00a0 By clicking \u201cAccept\u201d, creating an account, executing an order that references this Agreement, or by installing or using any component of the Service, you (\u201c<strong>Customer<\/strong>\u201d) agree to be bound by the terms set forth below.\u00a0 If you do not agree, do not install, access or use the Service.<\/p>\n<h4>\u00a0<\/h4>\n<h4><strong>1.\u202fDefinitions<\/strong><\/h4>\n<p>For the purposes of this Agreement the following capitalised terms have the meanings set out below (other capitalised terms are defined contextually):<\/p>\n<p>1.1.\u202f<strong>Affiliate<\/strong> \u2013 any entity that directly or indirectly controls, is controlled by, or is under common control with a party, where \u201ccontrol\u201d means ownership of more than fifty per\u202fcent (50\u202f%) of voting securities or comparable ownership interest.<\/p>\n<p>1.2.\u202f<strong>Authorised User<\/strong> \u2013 an employee, contractor or other individual whom Customer permits to access the Service under Customer\u2019s account.<\/p>\n<p>1.3.\u202f<strong>Data\u202fVolume<\/strong> \u2013 a logical namespace created in the Platform in which data is stored.<\/p>\n<p>1.4.\u202f<strong>Managed Storage<\/strong> \u2013 public\u2011cloud storage capacity contracted and paid for by Vawlt, offered in its cloud pool, and where encrypted shards of a Data\u202fVolume are stored.<\/p>\n<p>1.5.\u202f<strong>Customer Storage<\/strong> \u2013 storage resources (object, file or block) owned or controlled by Customer and configured for use with the Software\u202fAgent.<\/p>\n<p>1.6.\u202f<strong>Platform<\/strong> \u2013 Vawlt\u2019s cloud\u2011hosted control plane, application programming interfaces (APIs) and web console through which Data\u202fVolumes and Authorised Users are administered.<\/p>\n<p>1.7.\u202f<strong>Software\u202fAgent<\/strong> \u2013 the object\u2011code software provided by Vawlt for installation in Customer\u2019s environment to access Data\u202fVolumes.<\/p>\n<p>1.8.\u202f<strong>Subscription\u202fTerm<\/strong> \u2013 the period during which Customer is licensed to use the Service, as stated in an order, click\u2011through screen or in the Platform user interface.<\/p>\n<p>1.9.\u202f<strong>Retention\u202fPeriod<\/strong> \u2013 the minimum duration selected by Customer for a Data\u202fVolume, during which the data stored into must remain billable.<\/p>\n<p>1.10.\u202f<strong>Storage\u202fMedium<\/strong> \u2013 any Managed Storage or Customer Storage endpoint where encrypted shards of a Data\u202fVolume are stored.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>2.\u202fGrant of Rights<\/strong><\/h4>\n<p>2.1.\u202f<strong>Licence.<\/strong>\u00a0 Subject to Customer\u2019s continuous compliance with this Agreement and payment of all applicable fees, Vawlt grants Customer a limited, non\u2011exclusive, non\u2011transferable, non\u2011sublicensable right during the Subscription\u202fTerm to (i) access and use the Platform, (ii) install and operate the Software\u202fAgent in object\u2011code form on systems controlled by Customer, and (iii) use the associated SDKs and documentation solely for Customer\u2019s internal business purposes.<\/p>\n<p>2.2.\u202f<strong>Reservation of Rights.<\/strong>\u00a0 The Service is licensed, not sold.\u00a0 Vawlt and its licensors retain all right, title and interest in the Service and all related intellectual\u2011property rights.\u00a0 No rights are granted except as expressly set forth herein.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>3.\u202fRestrictions<\/strong><\/h4>\n<p>3.1. Customer shall not, and shall not permit any third party to: (a) reverse\u2011engineer, decompile, disassemble or otherwise attempt to derive source code of any part of the Service except to the limited extent permitted by applicable law notwithstanding contractual prohibition; (b) modify, adapt or create derivative works of the Service; (c) circumvent usage metering or billing; (d) remove or alter any proprietary notices; (e) provide the Service to third parties as a managed or hosted offering (except under a separate written partner agreement with Vawlt); or (f) use the Service to build or enhance a competing product or service.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>4.\u202fTrial Licence<\/strong><\/h4>\n<p>4.1. A no\u2011charge evaluation license may be activated once per Customer organisation.\u00a0 Upon expiry of the trial period Customer must (i) purchase a paid subscription that references this Agreement or (ii) discontinue all use and uninstall the Software\u202fAgent.\u00a0 Data stored in trial Volumes is automatically deleted seven (7) days after trial expiry unless converted to a paid subscription.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>5.\u202fFees, Payment and Retention Commitments<\/strong><\/h4>\n<p>5.1.\u202f<strong>Pricing Metric.<\/strong>\u00a0 Fees are calculated per Data\u202fVolume with reference to (a) Volume profile, (b) selected Storage\u202fMedia and locations, (c) Retention\u202fPeriod, (d) provisioned capacity and (e) included download quota.<\/p>\n<p>5.2.\u202f<strong>Minimum Commitment.<\/strong>\u00a0 Customer\u2019s Subscription\u202fTerm for each Data\u202fVolume shall be no shorter than its Retention\u202fPeriod.<\/p>\n<p>5.3.\u202f<strong>Early Deletion.<\/strong>\u00a0 Customer may delete a Data\u202fVolume at any time; however, if deletion occurs before expiry of the Retention\u202fPeriod Customer remains liable for fees covering the remainder of that period for the data that has not yet met the minimum retention period.<\/p>\n<p>5.4.\u202f<strong>Price\u2011List Revisions.<\/strong>\u202fVawlt may revise its standard price list, discount tables or billing metrics at any time in its sole discretion.\u00a0 A revised price list (the \u201c<strong>Revised Fees<\/strong>\u201d) becomes effective on the date Vawlt specifies in the notice of revision (\u201c<strong>Effective Fee Date<\/strong>\u201d) and applies:<\/p>\n<p>\u00a0\u00a0(a)\u202f<strong>New Data\u202fVolumes.<\/strong>\u202fto all Data\u202fVolumes created on or after the Effective Fee Date; and<\/p>\n<p>\u00a0\u00a0(b)\u202f<strong>Renewals of Existing Data\u202fVolumes.<\/strong>\u202fto each Data\u202fVolume that renews\u2014whether by automatic renewal or by Customer\u2019s affirmative renewal action\u2014on or after the Effective Fee Date.<\/p>\n<p>5.5.\u202f<strong>Fee Stability During Current Term.<\/strong>\u202fFor any Data\u202fVolume that is subject to a Subscription\u202fTerm in effect prior to the Effective Fee Date, the fees in force at the start of that Subscription\u202fTerm shall remain fixed until the earlier of (i) expiry of the Subscription\u202fTerm, (ii) deletion of the Data\u202fVolume by Customer, or (iii) early termination pursuant to this Agreement.\u00a0 Revised Fees will not be applied mid\u2011term.<\/p>\n<p>5.6.\u202f<strong>Notice of Fee Changes.<\/strong>\u202fVawlt will post Revised Fees in the Platform and, for Customers with active paid subscriptions, will provide at least thirty\u202f(30) days\u2019 advance notice by email before they take effect for renewals of existing Data\u202fVolumes.<\/p>\n<p>5.7.\u202f<strong>Payment Terms.<\/strong>\u00a0 Unless otherwise agreed in writing, invoices are payable within thirty (30) days of the invoice date.\u00a0 Fees are exclusive of VAT and all similar taxes, which shall be borne by Customer.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>6.\u202fCustomer Obligations<\/strong><\/h4>\n<p>6.1.\u202fCustomer is solely responsible for safeguarding all authentication credentials and the one\u2011time recovery code generated at account creation.\u00a0 Loss of both will render the encrypted data permanently inaccessible.<\/p>\n<p>6.2.\u202fCustomer shall maintain network connectivity between Software\u202fAgents and the chosen Storage\u202fMedia, ensure that Customer Storage endpoints conform to the documented protocols, and install any Agent updates designated by Vawlt as security\u2011critical within thirty (30) days of release.<\/p>\n<p>6.3.\u202fCustomer shall cooperate reasonably with Vawlt Support, including providing log files and other information necessary to reproduce and diagnose issues.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>7.\u202fAcceptable Use<\/strong><\/h4>\n<p>7.1. Customer shall not use the Service to store or transmit (i) content that is manifestly unlawful, including child sexual\u2011abuse material; (ii) material that infringes the intellectual\u2011property rights of third parties; (iii) malicious code intended to disrupt or compromise systems; or (iv) data whose storage or export violates applicable sanctions or export\u2011control laws.\u00a0 Upon credible notice of a violation Vawlt may suspend the affected Data\u202fVolume and will notify Customer without undue delay.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>8.\u202f<\/strong><b>Support, Service\u2011Level and Maintenance<\/b><\/h4>\n<p class=\"p1\">8.1.\u202f<b>Support Hours and Contact.<\/b>\u00a0Vawlt provides technical support to Customer\u2019s designated administrators during Business Hours\u2014defined as Monday to Friday, 09:00\u201118:00 Central European Time (\u201c<b>Business Hours<\/b>\u201d).\u202fAll requests must be submitted by email to <b>support@vawlt.io<\/b>.<\/p>\n<p class=\"p1\">8.2.\u202f<b>Support\u2011Response SLA.<\/b>\u00a0Vawlt will use commercially reasonable efforts to acknowledge each properly logged support request no later than the Next Business Day (\u201cNBD\u201d) following receipt. \u201cAcknowledge\u201d means (i) e\u2011mail confirmation, (ii) assignment of a ticket number, and (iii) preliminary severity classification.<span class=\"Apple-converted-space\">\u00a0 <\/span>Resolution times depend on issue complexity and are not guaranteed.<\/p>\n<p>8.3.\u202f<b>Platform Maintenance. <\/b>Vawlt will use commercially reasonable efforts, consistent with prevailing industry standards, to operate the Platform in a manner that minimises errors and interruptions.\u00a0 Planned maintenance windows will be announced at least five (5) business days in advance; emergency work may be undertaken without notice when required to mitigate urgent risk.<\/p>\n<p>8.4.\u202fPlatform outages affect only the control plane. Data read\/write operations performed by an already\u2011authenticated Software\u202fAgent are not interrupted by Platform unavailability.<\/p>\n<p>8.5.\u202f<b>Cloud\u2011Provider Lifecycle. <\/b>If Vawlt removes a Storage\u202fProvider from its cloud pool, Vawlt will provide at least sixty (60) days\u2019 advance written notice unless earlier removal is compelled by law or required to address a critical security threat.<\/p>\n<p>8.6. Vawlt employs data-striping and redundancy across multiple Storage Media. Vawlt commits that Customer data stored in an active Data Volume will remain available for read- and write-operations provided <span class=\"s1\">no more than one (1)<\/span> underlying Storage Medium experiences a simultaneous failure or becomes unavailable. If Vawlt fails to meet this commitment and the Customer loses data access for more than <span class=\"s1\">fifteen (15) consecutive minutes<\/span>, the Customer may claim a service-credit equal to <span class=\"s1\">one (1) day of fees<\/span> for the affected Data Volume for each hour of continuous unavailability, capped at <span class=\"s1\">thirty (30) days\u2019 fees<\/span> per incident. Service-credit requests must be submitted in writing within <span class=\"s1\">thirty (30) days<\/span> of the incident and constitute the Customer\u2019s sole and exclusive remedy for breach of this SLA.<\/p>\n<p><span class=\"s1\">8.7.<\/span><b>Platform Uptime; Service Credits. <\/b>Vawlt will use commercially reasonable efforts to provide a <span class=\"s1\"><b>Monthly Uptime Percentage<\/b><\/span> for the <span class=\"s1\"><b>Platform (control plane)<\/b><\/span> of at least <span class=\"s1\"><b>99.5%<\/b><\/span> during each monthly cycle (the \u201cPlatform SLO\u201d). \u201cMonthly Uptime Percentage\u201d means the total minutes in the month minus minutes of Platform Unavailability, divided by the total minutes in the month, expressed as a percentage. \u201cPlatform Unavailability\u201d means the Platform is unavailable to accept authenticated API requests or to allow administrative access to the web console, excluding (i) scheduled maintenance announced in advance under Section 8.3, (ii) emergency maintenance under Section 8.3, (iii) force majeure events, (iv) issues caused by Customer, Customer Storage, Customer network\/connectivity, or third-party services outside Vawlt\u2019s reasonable control, and (v) beta\/preview features if designated as such. If Vawlt fails to meet the Platform SLO in a given month, Customer may request a service credit equal to the following percentage of the fees paid for the affected month (or, if not separable, the fees paid for the affected Data Volumes during that month):<br \/><span class=\"s2\">(a) <\/span><b>99.0% to &lt;99.5%:<\/b><span class=\"s2\"> 5% credit<br \/><\/span><span class=\"s2\">(b) <\/span><b>95.0% to &lt;99.0%:<\/b><span class=\"s2\"> 10% credit<br \/><\/span>(c) <span class=\"s1\"><b>&lt;95.0%:<\/b><\/span> 20% credit<br \/>Credit requests must be submitted within thirty (30) days after the end of the month in which the Platform SLO was not met, and service credits are Customer\u2019s sole and exclusive remedy for breach of this Section 8.7.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>9.\u202fSecurity and Data Protection<\/strong><\/h4>\n<p>9.1.\u202fAll payload data is encrypted client\u2011side before leaving the Software\u202fAgent; Vawlt has no technical means to decrypt Customer data (\u201czero\u2011knowledge encryption\u201d).<\/p>\n<p>9.2.\u202fFor data stored in Data\u202fVolumes Customer is the \u201ccontroller\u201d and Vawlt acts as \u201cprocessor\u201d under the EU General Data Protection Regulation 2016\/679 (\u201cGDPR\u201d).\u00a0 For account and billing data Vawlt is the controller.<\/p>\n<p>9.3.\u202fVawlt will notify Customer of any confirmed unauthorised access to the Platform or Managed Storage that results in destruction, loss, alteration or disclosure of Customer data without undue delay and in any event within seventy\u2011two (72) hours after confirmation.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>10.\u202fLimited Warranty and Remedy<\/strong><\/h4>\n<p>10.1.\u202fVawlt warrants that, for ninety (90) days following activation of a paid Data\u202fVolume (the \u201cWarranty Period\u201d), the Service will perform materially in accordance with the then\u2011current documentation.<\/p>\n<p>10.2.\u202fIf Customer notifies Vawlt in writing within the Warranty Period of a reproducible non\u2011conformity, provides reasonable supporting information (including log files) and grants Vawlt thirty (30) days to remedy, and Vawlt fails to cure the defect, Customer may terminate the affected Volume and receive a refund of fees actually paid for that Volume.<\/p>\n<p>10.3.\u202fEXCEPT AS EXPRESSLY STATED IN THIS SECTION, THE SERVICE, SOFTWARE\u202fAGENT AND SUPPORT ARE PROVIDED \u201cAS IS\u201d WITHOUT ANY OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON\u2011INFRINGEMENT OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR\u2011FREE.<\/p>\n<p>\u00a0<\/p>\n<h4 class=\"p1\"><b>11.\u00a0Intellectual\u2011Property Claims<\/b><\/h4>\n<p class=\"p3\">11.1.<b>\u00a0No Vendor Indemnity.<\/b>\u202fVawlt does <b>not<\/b> provide any indemnity or defence against third\u2011party claims under this Agreement.\u202fIf Customer (or its authorised reseller or managed\u2011service provider) requires such protection, the parties must agree to a separate written indemnity signed by an authorised officer of Vawlt.\u202fAny indemnity contained in purchase orders or other standard terms supplied by Customer shall be void unless expressly accepted in writing by Vawlt.<\/p>\n<p class=\"p3\">11.2.<b>\u00a0Exclusions from Vendor Liability.<\/b>\u202fWithout limiting Section\u202f13 (Limitation of Liability), Vawlt shall have no responsibility for claims that arise from (i) Customer Storage or other third\u2011party components, (ii) unauthorised modification of the Service, (iii) combination of the Service with software, hardware or data not supplied by Vawlt, or (iv) continued use of the Service after Vawlt has provided a non\u2011infringing replacement, patch or workaround.<\/p>\n<p class=\"p3\">11.3.<b>\u00a0Vendor\u2019s Optional Remedies.<\/b>\u202fIf the Service is finally adjudicated to infringe a third\u2011party intellectual\u2011property right and Customer\u2019s continued use is enjoined, Vawlt may, at its sole discretion and expense: (a) procure the right for Customer to continue using the Service, (b) replace or modify the Service so that it becomes non\u2011infringing while materially preserving its functionality, or (c) terminate the affected functionality and refund Customer any prepaid fees covering the remainder of the applicable Subscription\u202fTerm.<\/p>\n<p class=\"p1\">11.4. <b>Open-Source Components. <\/b>The Service incorporates open-source software (\u201cOSS\u201d) distributed under the applicable OSS licences listed at <a href=\"http:\/\/vawlt.io\/fr\/conditions-d-utilisation\/\"><span class=\"s1\"><b>http:\/\/vawlt.io\/oss<\/b><\/span><\/a>. The OSS is provided \u201cas-is\u201d and is subject only to the expressly applicable licence terms, which take precedence over these Terms solely with respect to the OSS components. Nothing in this Agreement restricts the Customer\u2019s rights granted under those licences.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>12.\u202fLimitation of Liability<\/strong><\/h4>\n<p>12.1\u202fIN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS INTERRUPTION OR COST OF SUBSTITUTE GOODS OR SERVICES, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY.<\/p>\n<p>12.2\u202fTHE AGGREGATE LIABILITY OF VAWLT (INCLUDING ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS) ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.<\/p>\n<p>12.3.\u202fNothing in this Agreement limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot lawfully be limited.<\/p>\n<p class=\"p1\"><span class=\"s1\">12.4.<\/span> Following termination initiated by Vawlt \u2014 including termination for convenience under \u00a7 13.5 \u2014 or where Vawlt is otherwise unable to continue operations, Vawlt\u2019s liability for any service disruption is limited to instances in which Vawlt fails to implement a Transition and Continuity plan as set out in \u00a713.6.<\/p>\n<p class=\"p1\"><span class=\"s1\">12.5.<\/span><span class=\"Apple-converted-space\">\u00a0<\/span>Where the Transition and Continuity plan provided under \u00a7 13.6 consists of a self-hosted deployment, Vawlt\u2019s liability is further conditioned on the Customer\u2019s active cooperation in <span class=\"s1\">providing the necessary infrastructure and temporarily granting the access strictly required to complete the transition<\/span>. Once the transition is complete, Vawlt shall have <span class=\"s1\">no liability<\/span> for the ongoing operation, maintenance, security, updates, performance or third-party cloud-provider costs of the self-hosted environment.<\/p>\n<p class=\"p1\"><span class=\"s1\">12.6. <\/span>The Customer acknowledges that the Service is provided as a hosted, subscription-based platform and that its continuity may depend on external factors, including commercial viability and third-party dependencies. In the event of permanent service discontinuation, Vawlt will offer transition assistance as described in this Agreement.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>13.\u202fTerm, Suspension and Termination<\/strong><\/h4>\n<p>13.1.\u202fThis Agreement commences on the Effective Date and continues until all Subscription\u202fTerms expire or are terminated.<\/p>\n<p>13.2.\u202fEither party may terminate this Agreement or an individual Subscription for material breach if such breach is not cured within thirty (30) days after written notice.<\/p>\n<p>13.3.\u202fIf any undisputed invoice remains unpaid fifteen (15) days beyond its due date, Vawlt may suspend the Service after seven (7) days\u2019 prior email notice.<\/p>\n<p>13.4.\u202fUpon termination Customer must cease all use, uninstall the Software\u202fAgent and pay all outstanding fees. Customer has seven (7) days to retrieve its data, after which Vawlt may permanently delete all encrypted shards.<\/p>\n<p class=\"p1\">13.5. <b>Termination for Convenience. <\/b>Vawlt may terminate this Agreement or any individual Subscription for convenience by providing the Customer with at least <span class=\"s1\">thirty (30) days\u2019<\/span> prior written notice. The provisions in \u00a7 13.6 (Transition and Continuity) shall apply.<\/p>\n<p class=\"p1\">13.6. <b>Transition and Continuity. <\/b>If Vawlt terminates this Agreement under \u00a713.5 <span class=\"s1\">or for any reason is unable to continue operations<\/span>, Vawlt will use reasonable efforts to:<\/p>\n<ul>\n<li>\n<p class=\"p1\">(i)<span class=\"s1\"> provide at least <\/span>thirty (30) days\u2019 notice<span class=\"s1\">; <\/span>et<\/p>\n<\/li>\n<li>\n<p class=\"p1\">(ii) offer continued access to Customer Data for at least forty-five (45) days and\/or deliver a technically feasible self-hosted version of the Service<span class=\"s1\"> under a non-exclusive, royalty-free, irrevocable licence.<\/span><\/p>\n<\/li>\n<\/ul>\n<p>\u00a0<\/p>\n<h4><b>14 . Force Majeure<\/b><\/h4>\n<p class=\"p3\"><span class=\"s2\">14.1.<\/span><span class=\"Apple-converted-space\">\u00a0 <\/span>Vawlt shall not be liable for any failure or delay in performing its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, wars, terrorism, civil disturbances, acts of government, labour disputes, internet service-provider failures or denial-of-service attacks.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>15.\u202fAudit<\/strong><\/h4>\n<p>15.1. Vawlt may, on thirty (30) days\u2019 written notice and at most once in any twelve\u2011month period, request evidence (such as usage logs) reasonably necessary to verify Customer\u2019s compliance.\u00a0 Audits will be conducted in a manner that minimises disruption and preserves confidentiality.\u00a0<\/p>\n<p>\u00a0<\/p>\n<h4><b>16. Data Processing<\/b><\/h4>\n<p>16.1. To the extent that Vawlt processes Personal Data on behalf of Customer in connection with the Services, such processing shall be governed by the Data Processing Agreement available at: <strong><a href=\"https:\/\/vawlt.io\/fr\/conditions-d-utilisation\/\">https:\/\/vawlt.io\/dpa<\/a><\/strong><b>.\u00a0 <\/b><b><\/b>The Data Processing Agreement is hereby incorporated by reference into these Terms and forms an integral part of the Agreement between Vawlt and the Customer. By accepting these Terms or using the Services, Customer agrees to be bound by the Data Processing Agreement. In the event of any conflict between the Data Processing Agreement and these Terms with respect to the processing of Personal Data, the Data Processing Agreement shall prevail.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>17.\u202fExport Compliance<\/strong><\/h4>\n<p>17.1. Customer shall not export, re\u2011export, transfer or allow access to the Service in violation of EU, U.S. or other applicable export\u2011control and sanctions laws.\u00a0 Customer represents that it is not named on any government list of prohibited or restricted parties.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>18.\u202fConfidentiality<\/strong><\/h4>\n<p>18.1. Each party shall protect the other\u2019s non\u2011public information using at least the same degree of care it uses for its own similar information, and not less than reasonable care, and shall use such information solely for the purposes of this Agreement.<\/p>\n<p>\u00a0<\/p>\n<h4><strong>19.\u202fAmendments<\/strong><\/h4>\n<p>19.1. Vawlt may modify these Terms by posting an updated version and giving thirty (30) days\u2019 advance notice via email or the Platform.\u00a0<\/p>\n<p>\u00a0<\/p>\n<h4><strong>20.\u202fGeneral<\/strong><\/h4>\n<p>20.1.\u202f<strong>Governing Law; Venue.<\/strong>\u00a0 This Agreement is governed by the laws of Portugal.\u00a0 The courts of Lisbon, Portugal, have exclusive jurisdiction over all disputes, except that either party may seek injunctive relief in any competent court.<\/p>\n<p>20.2.\u202f<strong>Assignment.<\/strong>\u00a0 Neither party may assign this Agreement without the prior written consent of the other, except in connection with a merger, acquisition or sale of substantially all assets, provided the assignee agrees in writing to be bound by these Terms.<\/p>\n<p>20.3.\u202f<strong>Severability.<\/strong>\u00a0 If any provision is held unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.<\/p>\n<p>20.4.\u202f<strong>Entire Agreement.<\/strong>\u00a0 This Agreement, together with any order that references it and the documents expressly incorporated herein, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior or contemporaneous communications.<\/p>\n<p class=\"p1\">20.5.<b>Change of Control. <\/b>In the event of a merger, acquisition or other transaction that results in a change of control of Vawlt, this Agreement (including all active Subscriptions) will automatically transfer to the successor entity without further consent, provided the successor agrees in writing to be bound by these Terms. Vawlt shall notify the Customer of any such change of control within <span class=\"s1\">thirty (30) days<\/span> after it becomes effective.<\/p>\n<p>\u00a0<\/p>\n<p>Notices under this Agreement shall
